Terms of Service

These Terms of Service ("Terms") govern access to and use of the Transnimo transport management platform (the "Service") and the transnimo.com website, provided by Transnimo LLC, a Wyoming limited liability company ("Transnimo," "we," "us," or "our"). By accessing our website or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the business you represent ("Customer," "you").
1. Who this applies to
The Service is intended for business use by shipping liners, freight forwarders, third-party logistics providers, trucking companies, and similar commercial operators. It is not intended for consumer use, and you confirm you are entering into these Terms in a business capacity, not as a consumer.
2. The Service
Transnimo is a transport management platform for planning and tracking orders, trips, fleet assets, quotations, billing, and related operations for port logistics businesses. Access to the Service is provided on a subscription basis under an Order Form or written agreement between Transnimo and each Customer.
3. Onboarding and accounts
Transnimo does not currently offer self-serve account creation. Access is set up directly with our team after you contact us and agree to the applicable commercial terms. You are responsible for maintaining the confidentiality of any login credentials issued to your organization's users, and for all activity that occurs under those credentials.
4. Subscription fees and billing
Fees are based on the pricing structure described on our Pricing page, or on terms agreed separately in writing with your organization, whichever governs your account. Fees are billed monthly based on completed trip volume, unless a different billing arrangement is agreed in writing. Exact payment terms, invoicing method, and due dates will be confirmed with you directly before your subscription begins.
5. Your data
You retain ownership of all data you or your authorized users submit to the Service, including order, trip, fleet, customer, and billing data ("Customer Data"). You grant Transnimo a limited license to host, process, and display Customer Data solely to provide the Service to you. Handling of Customer Data, including any personal data relating to your drivers, staff, or contacts, will be governed by a separate Data Processing Agreement provided at onboarding where applicable.
6. Acceptable use
You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to the Service or other customers' data; interfere with or disrupt the integrity or performance of the Service; or reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
7. Intellectual property
Transnimo and its licensors retain all right, title, and interest in and to the Service, including its software, design, and underlying technology. Nothing in these Terms transfers ownership of the Service to you. You retain all rights to your Customer Data.
8. Service availability
We work to keep the Service reliably available, but we do not currently guarantee a specific uptime percentage or service level unless one is separately agreed in writing with your organization. Planned maintenance and unplanned outages may occur from time to time.
9. Suspension and termination
We may suspend or restrict access to the Service if fees remain unpaid past their due date, if these Terms are materially breached, or if required to prevent harm to the Service or other customers. Either party may terminate the subscription in accordance with the notice terms set out in your Order Form or written agreement, or as described in our Refund & Cancellation Policy.
10. Disclaimer of warranties
The Service is provided "as is" and "as available." To the extent permitted by law, Transnimo disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the extent permitted by law, Transnimo's total liability arising out of or related to these Terms or the Service will not exceed the fees paid by you to Transnimo in the twelve (12) months preceding the claim. Transnimo will not be liable for indirect, incidental, special, or consequential damages, including lost profits or lost data, arising from use of the Service.
12. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of laws principles.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will make reasonable efforts to notify active customers before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
